These Terms of Service (the "Terms") are a binding agreement between you and Secuno LLC ("Secuno", "we", "us"), a Wyoming limited liability company, governing your use of zipy.app (the "Service").
By creating an account, subscribing to a plan, or using any short link, bio page, QR code or API we provide, you accept these Terms. If you do not accept them, do not use the Service.

2. Eligibility
You must be at least 18 years old and legally able to enter into a contract. If you are accepting these Terms for an organisation, you confirm you have authority to bind it, and "you" means that organisation. You must not be barred from using the Service under any applicable sanctions or export control law.
3. Your account
- Give accurate registration details and keep them current.
- Keep your password and API keys confidential. Everything done through your account is your responsibility.
- Enable two-factor authentication if your account matters to you. We strongly recommend it.
- Tell us immediately at contact@zipy.app if you suspect unauthorised access.
- Do not share one account between multiple people. Use the team features instead, where your plan provides them.
4. The Service and plan limits
zipy.app shortens URLs and provides bio pages, QR codes, splash and overlay pages, click and scan analytics, team collaboration, and an API. Which features you get, and the limits on links, clicks, custom domains, team seats, API requests and analytics history, depend on your plan as described at the time you subscribe.
We may add, change or withdraw features. If we materially reduce a feature you are paying for, we will give you 30 days' notice and you may cancel for a pro-rata refund of the unused period.
5. Subscriptions, billing and renewal
This section governs paid plans. Read it carefully — it describes automatic renewal.
5.1 Plans and free tier
We may offer a free tier with reduced limits. Free accounts that stay inactive for 12 months may be suspended or deleted after we email you a warning.
5.2 Free trials
Where we offer a trial, it converts into a paid subscription at the end of the trial period unless you cancel before it ends. We will tell you the trial length and the price when you sign up. One trial per person or organisation.
5.3 Automatic renewal
Subscriptions renew automatically at the end of each billing period — monthly plans monthly, annual plans annually — at the then-current price, using your stored payment method, until you cancel. For annual plans we email a renewal reminder before we charge you.
You may cancel at any time from your account's billing page. Cancellation stops the next renewal; it does not end the period you have already paid for, which runs to its end.
5.4 Prices, taxes and currency
Prices are in US Dollars unless stated otherwise, and exclude VAT, GST, sales tax and similar charges, which are added at checkout where we are required to collect them. You are responsible for any other taxes or duties. Where a processor charges a currency conversion fee, that is between you and your card issuer.
5.5 Price changes
We may change prices. Any increase takes effect at your next renewal and we will give you at least 30 days' notice by email. If you do not accept the new price, cancel before the renewal date.
5.6 Failed payments
If a payment fails we will retry and email you. If it remains unpaid after 7 days we may downgrade your account to the free tier or suspend it. Links may stop resolving while an account is suspended. We will not delete your data for non-payment alone for at least 30 days after suspension.
5.7 Refunds
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6. Acceptable use
Link shorteners attract abuse, so we enforce this section strictly.
6.1 Prohibited content and destinations
You must not create, share or point a link, bio page, QR code or splash page at anything that:
- distributes malware, ransomware, spyware, exploits, or any code intended to damage a device or network;
- conducts phishing, credential harvesting, or impersonates a person, brand or institution to deceive;
- promotes fraud, including advance-fee scams, fake stores, counterfeit goods, pyramid or Ponzi schemes, and deceptive cryptocurrency or investment offers;
- contains or advertises child sexual abuse material — which we report to the authorities without notice;
- contains non-consensual intimate imagery, or content that sexualises minors in any way;
- incites or threatens violence, or promotes terrorism or violent extremism;
- harasses, stalks, doxxes or targets an individual;
- infringes copyright, trademark, privacy or publicity rights;
- sells goods or services whose sale is unlawful in the relevant jurisdiction, including controlled substances, weapons, stolen data and forged documents;
- is otherwise unlawful under the laws of Wyoming or the United States, or where the content is published or received.
6.2 Prohibited conduct
- Sending unsolicited bulk messages of any kind, or using our links in spam.
- Link cloaking — using our domains to disguise a destination in order to evade a spam filter, a security scanner, or another platform's link policy.
- Serving different content to our security scanners than to real visitors ("cloaking" or "bait and switch"), including via geographic or user-agent targeting used to conceal abuse.
- Generating artificial clicks or scans to inflate statistics.
- Reselling, sublicensing or white-labelling the Service without our written agreement.
- Reverse engineering, decompiling, or attempting to extract our source code, except where that right cannot lawfully be excluded.
- Probing, scanning or testing the security of the Service without our prior written permission; circumventing rate limits, captchas or authentication; or accessing another user's account or data.
- Scraping the Service, or placing a load on it that degrades it for others.
6.3 Reporting abuse
Anyone can report a link through the report form on the site or by writing to legal@zipy.app. We review reports promptly and act on credible ones. We may disable a link or account without prior notice where there is an active risk to visitors, and we will tell you afterwards unless the law prevents us.
7. Copyright and DMCA
If you believe content reached through the Service infringes your copyright, send a notice to legal@zipy.app including: your contact details; identification of the work; the specific short link complained of; a statement of good-faith belief that the use is unauthorised; a statement, under penalty of perjury, that the information is accurate and you are authorised to act; and your signature. We remove or disable infringing material and terminate repeat infringers. You may submit a counter-notice if you believe removal was a mistake.
8. Your content
Your links, destinations, bio pages, uploads and other content remain yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit and display that content solely to operate and support the Service, for as long as you keep it on the Service. This licence ends when you delete the content or your account, subject to backups ageing out.
You are responsible for having the rights to everything you publish, and for complying with the law that applies to your audience — including, where you collect analytics on your links, your own privacy notice and consent obligations. See section 4 of our Privacy Policy.
9. Our intellectual property
The Service, its software, design, and the zipy.app and Secuno names and logos are owned by Secuno LLC or its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service, and nothing more. Third-party open-source components remain under their own licences.
10. Third-party destinations and services
Short links point to sites we do not control and do not endorse. We are not responsible for their content, security or privacy practices. Following a link is at your own risk.
11. API
Where your plan includes API access, you must keep your keys secret, respect the published rate limits, identify your application honestly, and not use the API to replicate the Service as a competing product. We may change or version the API; for breaking changes we will give reasonable notice. We may revoke a key that is abused.
12. Beta and AI features
Features marked beta, preview or experimental — including AI-assisted features — are provided as-is, may change or disappear, and are excluded from any availability commitment. AI output can be wrong; check it before relying on it.
13. Availability
We work to keep the Service available and reliable, but except where we have signed a separate service level agreement, we do not guarantee any particular uptime. We may carry out maintenance, and will try to schedule disruptive work outside peak hours and to give notice where practical.
14. Suspension and termination
14.1 By you
Cancel your subscription, or delete your account entirely, from your dashboard at any time. Deleting your account removes your links, bio pages, QR codes and analytics — short links stop working immediately and this cannot be undone. Export anything you need first.
14.2 By us
We may suspend or terminate your account for a material breach of these Terms, for non-payment, or where required by law. Except for urgent cases under section 6.3, we will give you notice and, where the breach can be fixed, a reasonable chance to fix it.
14.3 After termination
Fees already incurred remain payable. You have 30 days from termination to request an export of your data, after which we delete it in line with our Privacy Policy. Sections 8 to 10 and 15 to 19 survive termination.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANALYTICS WILL BE COMPLETE OR ACCURATE.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUNO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow certain exclusions, in which case our liability is limited to the greatest extent those laws permit.
17. Indemnity
You will indemnify and hold harmless Secuno LLC, its members, officers, employees and contractors against any claim, loss, liability or expense (including reasonable legal fees) arising from your content, your use of the Service, your breach of these Terms, or your infringement of a third party's rights.
18. Changes to these Terms
We may revise these Terms. For material changes we will email account holders and post a notice at least 30 days before they take effect. Continuing to use the Service after that date means you accept the revised Terms. If you do not accept them, cancel before they take effect.
19. Governing law and disputes
19.1 Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules.
19.2 Informal resolution first
Before starting formal proceedings, contact legal@zipy.app. We will work in good faith to resolve the matter within 30 days.
19.3 Arbitration
If that fails, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association, seated in Wyoming or conducted remotely by agreement. Either party may still seek injunctive relief in court for infringement of intellectual property or breach of confidentiality, and either party may bring a claim in small claims court.
19.4 Class action waiver
To the extent permitted by law, disputes will be brought individually and not as a class, collective or representative action.
19.5 Consumers
If you are a consumer, nothing here deprives you of the protection of mandatory laws in your country of residence, or of your right to bring proceedings in your local courts where the law gives you that right.
20. General
- Entire agreement: these Terms, the Privacy Policy and the Refund & Cancellation Policy are the whole agreement between us about the Service.
- Severability: if a provision is unenforceable, the rest stands.
- No waiver: not enforcing a right does not waive it.
- Assignment: you may not assign these Terms without our written consent; we may assign them to an affiliate or in a merger or sale of assets.
- Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices: we contact you at your registered email; you contact us at legal@zipy.app or the postal address above.
